These Terms of Service ("Terms") govern your use of sidestakllc.com and the services provided by Side Stak LLC ("Side Stak," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms.
Side Stak provides business services which may include CRM and automation setup, funnel and website builds, messaging/A2P compliance configuration, business formation support, and related consulting. Specific deliverables, timelines, and fees are defined in a separate proposal or service agreement between you and Side Stak.
You must be at least 18 years old and able to form a binding contract to use our services.
You agree to provide accurate information, cooperate as reasonably needed for us to perform services, maintain your own accounts and credentials, and use our deliverables in compliance with all applicable laws — including messaging, telemarketing, and consumer-protection regulations (e.g., TCPA and carrier A2P/10DLC requirements).
Fees, payment schedules, and refund terms are set out in your applicable proposal or service agreement. Unless otherwise stated, fees are non-refundable once work has commenced.
By contacting us or engaging our services, you consent to receive communications from us by email, phone, and — where you opt in — SMS, as described in our Privacy Policy. You may opt out of SMS at any time by replying STOP.
Side Stak provides services and tools but does not guarantee any specific business, financial, credit, or funding outcome. Side Stak is not a law firm, is not a lender, and does not provide legal, tax, accounting, or investment advice. Where services touch on credit-related or funding-related matters, any such work is performed under separate written agreements and applicable law, and results depend on factors outside our control.
All Site content, branding, and materials are owned by Side Stak or its licensors. Deliverables produced for a client are governed by the applicable service agreement. You may not copy, resell, or redistribute our materials without permission.
Our services often integrate third-party platforms (such as CRM, messaging, hosting, and funding partners). We are not responsible for the availability, performance, or policies of third-party services, and your use of them is subject to their terms.
The Site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the fullest extent permitted by law, Side Stak and its members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim shall not exceed the amount you paid to us for the services giving rise to the claim in the three (3) months preceding the event.
You agree to indemnify and hold harmless Side Stak from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute shall be resolved in the state or federal courts located in California.
We may update these Terms from time to time. Continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.
